As Facility Agent of the abovementioned ABMB Bond Programmes, we wish to inform that the role of Principal Adviser/Lead Arranger, Lead Manager and Facility Agent for the following will be transferred from Alliance Investment Bank Berhad (''AIBB'') to Alliance Bank Malaysia Berhad (''ABMB'') with effect from 5pm, 23 June 2022 pursuant to a Novation Agreement dated 16 June 2022:
(a) Commercial Papers Programme of up to RM500.0 million;
(b) Senior Medium Term Notes Programme of up to global limit of RM1.5 billion; 
(c) Subordinated Medium Term Notes Programme of up to RM2.0 billion; and
(d) Additional Tier 1 Capital Securities Programme of up to RM1.0 billion.
    (collectively known as ''ABMB Bond Programmes'')

In accordance with Paragraph 3.01 of Chapter 3, Section A of the Guidelines on Unlisted Capital Market Products under the Lodge and Launch Framework (issued on 9 March 2015 and revised on 22 November 2021), it is hereby declared that there may be a potential conflict-of-interest situation arising from the appointment of ABMB as the Principal Adviser/Lead Arranger, Lead Manager and Facility Agent for the ABMB Bond Programmes in view that ABMB is also the Issuer.

Notwithstanding the above, ABMB as the Principal Adviser/Lead Arranger, Lead Manager and Facility Agent has considered the factors involved and believes the objectivity and independence in carrying out its role will be maintained at all times for the following reasons:

(i)	The advisory work will be carried out by ABMB's Debt Capital Markets (''ABMB DCM'') team, which functions as an independent business unit in accordance with high professional standards;

(ii)	The conduct of ABMB is regulated by, amongst others, BNM and the SC and governed by, amongst others, the Financial Services Act 2013, and ABMB has in place its own internal controls and checks;

(iii)	ABMB is a licensed financial institution and the appointment of ABMB DCM as the Principal Adviser, the Lead Arranger, the Lead Man
